Enterprise Terms of Service

1. Agreement to Terms

These Enterprise Terms of Service ("Enterprise Terms") govern the relationship between WispherFlow ("we," "us," or "our") and the organization ("Enterprise Customer," "you," or "your") that has purchased access to the WispherFlow Enterprise platform. By activating an Enterprise workspace, you agree to these Terms in addition to our general Terms of Service.

2. Enterprise Workspace

Upon activation of an Enterprise plan, WispherFlow will provision a dedicated workspace accessible at a unique URL (e.g., wispherflow.com/e/your-company). The Enterprise Customer will designate one or more administrators who are responsible for managing member access, approving session requests, and ensuring compliance with these Terms.

4. Session Approval Workflow

The platform provides an optional session approval mechanism. When enabled, members must submit session requests that require administrator approval before use. WispherFlow is not responsible for any business impact resulting from approval decisions made by the Enterprise Customer's administrators.

6. Confidentiality

WispherFlow agrees to maintain the confidentiality of Enterprise Customer data and will not share it with third parties except as required to provide the service or as required by law. Enterprise Customer data will not be used to train AI models without explicit consent.

7. Acceptable Use

Enterprise Customers and their members must comply with our general Terms of Service acceptable use policies. Enterprise Customers are responsible for ensuring their members do not misuse the platform, including but not limited to using session assistance in contexts where it violates the rules of a recruiting process.

9. Service Level

We target 99.5% monthly uptime for the Enterprise platform. Planned maintenance will be communicated via email to workspace administrators with at least 24 hours notice where possible. For SLA guarantees, contact enterprise@wispherflow.com.

10. Termination

Either party may terminate the Enterprise agreement with 30 days written notice (email acceptable). Upon termination, member access will be revoked and workspace data will be retained for 30 days before deletion. WispherFlow may terminate immediately for material breach of these Terms.

11. Limitation of Liability

To the maximum extent permitted by law, WispherFlow's liability under these Enterprise Terms is limited to the amount paid by the Enterprise Customer in the 3 months preceding the claim. WispherFlow is not liable for indirect, incidental, or consequential damages.

12. Modifications

We may update these Enterprise Terms from time to time. We will notify workspace administrators by email at least 14 days before material changes take effect. Continued use of the platform after the effective date constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA. Disputes will be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.
